Baron Philippe Bodson (1944)  + 4 April 2020

The Board of Directors, the Executive Committee and all employees of the EXMAR group deeply regret to inform you about the passing away, due to COVID-19, of Baron Philippe Bodson.

Member of the Board of Directors of EXMAR since 18 years, and Chairman of EXMAR since 15 years.

EXMAR pays tribute to Baron Bodson for his unconditional dedication to our group.

We express our heartfelt condolences to his wife, children and grandchildren.

 

NV JALCOS represented by Ludwig Criel (1951) - Chairman and non-executive director

Ludwig Criel graduated from the University of Ghent with a degree in Applied Economic Sciences. He also holds a degree in Management (Vlerick School of Management).

In 1976 he joined Boelwerf as Project Manager. In 1983 he became Administrative Manager of Almabo. He held various management positions within the Almabo/EXMAR Group and later became Chief Financial Officer of CMB. From 1999 till 2011 he was Managing Director of the Wah Kwong Group in Hong Kong.

Ludwig Criel is chairman of De Persgroep, member of the Supervisory Board of De Persgroep Nederland, member of the board of  Bank Degroof Petercam and is a director of various subsidiaries of the CMB Group. He has been a director of CMB since 1991 and director of EXMAR since listing.

Isabelle Vleurinck (1965) - Independent director

Isabelle Vleurinck holds a master degree in Applied Economic Sciences from the KU-Leuven and a diploma of Financial Analyst of the Belgian Association of Financial Analysts.

She started her career in the Corporate Finance department with Bank Degroof. In 1992 she joined Almabo/CMB group where she was project coordinator within the finance department until 2004.
She is now member of the board of Axis Group and is a volunteer counselor to the Aid to Victims team for East-Flanders.

Baron Philippe Vlerick (1955) - Non-executive director

Baron Philippe Vlerick graduated in philosophy from the University of Leuven in 1977. He also holds a diploma in law (Leuven – 1978), a MBA General Management (PUB) (Ghent, Vlerick School of Management in 1979) and a Master degree of Business Administration from Indiana University, Bloomington (USA – 1980).

He is Chairman and Managing Director of B.I.C. Carpets, Uco and other Vlerick Group Businesses. He is Chairman of Photo Hall Multimedia, HIFI International, Pentahold and BICC&I (Belgo-Indian Chamber of Commerce & Industry) and Vice-chairman of the KBC Group, KBL, Spector and Corelio. He is on the board of various companies, including EXMAR, Besix, BMT, Etex, IVC, Corelio, L.V.D. Company and Concordia Textiles.

 

Wouter De Geest (1954) - Independent director

The Board of Directors, in its meeting of 29th January 2020, has co-opted Mr. Wouter De Geest as independent director of the Company within the meaning of Corporate Governance Code, to fill the vacancy that had arisen following the passing away of Mrs. Kathleen Eisbrenner on 9th May 2019.

The appointment of Mr. De Geest will be submitted for approval to the General Meeting of Shareholders of EXMAR NV of Tuesday 19 May 2020.

Mr. De Geest is the chairman of VOKA and was the CEO of BASF Antwerp where he started his career in 1982; he retains his director's mandate on the Supervisory Board of BASF Antwerp.
